Legal & Compliance Division

BIOS Homes operates with a clear commitment to transparency, structure, and regulatory responsibility. Our Legal & Compliance Division exists to protect our mission, our people, and the communities we serve — from contracts to compliance, from intellectual property to DAO governance.

🔐 Core Responsibilities

  • Contract drafting and review for modular sales, partner agreements, and vendor relationships
  • IP protection for BIOS innovations, including hemp-based building material patents and BIOS Coin architecture
  • State and federal housing compliance, including land use, energy, and zoning laws
  • Risk mitigation and legal readiness for all 12 divisions
  • Advising on DAO structuring, smart contract legality, and jurisdictional frameworks for blockchain governance

📜 Process Overview

1. Contract Lifecycle Management

All BIOS contracts follow a four-step lifecycle:

  • Drafting: Led by legal counsel, in collaboration with division leadership
  • Review: Reviewed against internal playbooks and compliance checklists
  • Execution: Digital signature platforms and on-chain recordkeeping (planned)
  • Audit & Archive: Stored securely with version tracking and DAO oversight as needed

2. Regulatory Monitoring

BIOS uses a multi-state compliance tracking system to:

  • Stay up-to-date with zoning, modular code, HUD, and energy requirements
  • Ensure tax alignment for ETHOS Fund and nonprofit partners
  • Prepare for inspections, public filings, and factory certifications

3. Intellectual Property Protection

BIOS has developed proprietary hemp-bamboo building systems, the BIOS Coin framework, and multiple digital tools.
We actively:

  • File provisional and utility patents
  • Register trademarks for key brands and divisions
  • Document innovations through internal invention disclosures

4. DAO Legal Strategy

BIOS is actively exploring legal structures for decentralized governance, including:

  • Forming a Wyoming DAO LLC or Public Benefit DAO
  • Smart contract enforceability reviews
  • Voter identity, staking, and treasury regulation frameworks

These efforts will allow BIOS to scale governance responsibly across ETHOS Fund deployments and community-led housing initiatives.
